This agreement sets the terms for using Detof Connect. The app is a QuickBooks Online integration operated by Detof GmbH, Rennweg 57, 8001 Zürich, Switzerland (UID CHE-265.755.429). It applies to any business that connects its QuickBooks company to the app (the Client) and to the people who connect it on the Client's behalf.
The app is a tool Detof uses to deliver the services in the Client's services agreement with Detof. It is not offered on its own. If this agreement and the services agreement conflict the services agreement prevails.
Detof grants the Client a limited licence to connect the app to its QuickBooks company while the services agreement is in force. The licence is non exclusive and cannot be transferred. The Client may not copy, modify, resell or reverse engineer the app.
The person who connects the app confirms that the Client has authorised them to do so. They also confirm they may accept this agreement for the Client.
Once connected Detof accountants can read data and create or change records in the Client's QuickBooks company. Detof acts only within the services agreement and the Client's instructions. Detof uses AI tools to help prepare work. Detof accountants supervise that work and remain responsible for it under the services agreement.
The Client agrees to the following.
The Client keeps ownership of its data. How Detof handles it is set out in the Detof Connect privacy policy and in the data protection clause of the services agreement.
Intuit is not a party to this agreement and is not responsible for the app. Use of QuickBooks Online remains subject to Intuit's own terms. Detof has no control over the availability of QuickBooks or changes Intuit makes to it.
Detof takes reasonable care to keep the app working. It does not promise the app will run without interruption or error. Detof gives no warranty for the app beyond those in the services agreement.
Detof's liability for the app follows the liability clause of the services agreement. As far as Swiss law allows Detof is not liable for indirect or consequential loss. It is not liable for loss caused by an outage or change at Intuit. Nothing here limits liability for intent or gross negligence.
The Client may disconnect the app at any time. Detof may suspend access if it sees a security risk. This agreement ends when the app is disconnected or the services agreement ends. Tokens are then deleted as the privacy policy describes.
Detof may update this agreement and will post the new version on this page. Material changes are emailed to connected clients before they apply.
This agreement is governed by Swiss law. The courts of Zürich have exclusive jurisdiction.
